Advisory & Transactions
Judgement for the decisions you only make once.
Selling, buying, restructuring, raising capital, handing over. We’ve sat on the owner’s side of the table for forty years, and we know how these deals are won.
The work
Due diligence
Financial, tax and commercial examination of a target, a partner or an investment.
Valuation
Businesses, shares and assets, for transactions, disputes, regulatory purposes and succession.
Restructuring
Group structures, mergers, demergers, conversions and the tax and regulatory path through them.
Virtual CFO
A senior finance head for businesses that need one but not full-time.
Succession and family business
Ownership, governance and the transition between generations.
Fund-raising support
Preparing a business, its numbers and its story for lenders and investors.
Board and owner counsel
A second opinion, in confidence, before a significant decision.
When clients call us
An offer has been made for the business.
The next generation is ready to take on more.
A bank or investor wants numbers the business has not prepared before.
A group structure has grown by accident rather than design.
A significant decision needs a second opinion from outside.
How we approach it
Good advisers agree with you. Great ones tell you when you’re wrong. We are the second kind.
How an engagement runs
01
Listen
A confidential conversation with the owners about what they want and what they will not accept.
02
Examine
The numbers, structure, tax and regulatory position, tested against the decision.
03
Advise
A written view with the options, the consequences of each, and our recommendation.
04
Execute
We stay through negotiation, documentation and implementation, alongside your lawyers and bankers.
Questions we are asked
Is the first conversation confidential?
Always. We do not discuss a client's plans with anyone, including other clients in the same industry.
Do you act for buyers or sellers?
Either, but never both on the same transaction.
Can you work with our existing lawyers and bankers?
Yes. Most transactions involve several advisers; we coordinate rather than replace them.
How are advisory engagements priced?
Usually a fixed fee for a defined scope, agreed in writing before work starts.
